  • Prevent fraud, abuse, or security incidents;

“3rdUp” and associated logos and branding are trademarks or identifying marks of 3rdUp or its applicable owner.

The Services may integrate with or link to third-party websites, applications, platforms, advertising networks, payment providers, analytics services, content-management systems, or other third-party services.

Your use of third-party services may be subject to those providers’ separate terms and privacy policies.

3rdUp is not responsible for third-party services that we do not control.

We strive to provide reliable and secure Services, but we do not guarantee that the Services will always be available, uninterrupted, error-free, or secure.

Services may occasionally be unavailable because of:

  • Maintenance;

  • Technical problems;

11. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

3RDUP DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

We do not guarantee that the Services will meet every business requirement, produce a particular result, increase sales or engagement, or operate without interruption.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, 3RDUP AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, 3RDUP’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

  1. THE AMOUNT YOU PAID TO 3RDUP FOR THE SERVICES DURING THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR

Nothing in these Terms limits liability that cannot legally be limited under applicable law.

13. Indemnification

  • Your use of the Services;
  • Your User Content;
  • Your violation of these Terms;
  • Your violation of another person’s rights; or
  • Your violation of applicable laws or regulations.

14. Suspension and Termination

We may suspend or terminate your access to the Services if:

  • You materially violate these Terms;
  • Your use creates a security or legal risk;
  • You engage in fraudulent or abusive conduct;
  • You fail to pay applicable fees;
  • We are required to do so by law; or
  • We discontinue the applicable Service.

Upon termination, provisions that by their nature should survive termination—including intellectual-property provisions, disclaimers, limitations of liability, indemnification, and dispute provisions—will survive.
